1. Acceptance of Terms

By accessing or using the VMS Payroll application ("Service") provided by Sri Velmurugan Software Technologies ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

VMS Payroll is a cloud-based payroll management platform that provides:

• Employee payroll processing and payslip generation
• Attendance and leave management
• Statutory compliance and tax computation
• Bank payout file generation
• Employee self-service portal
• Reporting and analytics

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized access to your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious code or content
• Share your account credentials with unauthorized parties
• Use the Service to process data for purposes other than legitimate payroll and HR operations

5. Data Ownership

You retain full ownership of all data you enter into the Service. We do not claim any ownership rights over your data. Upon termination of your account, you may request export of your data within 30 days.

6. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control.

7. Payment Terms

Subscription fees are billed according to your selected plan. Prices are subject to change with 30 days' notice. Non-payment may result in suspension of access to the Service.

8. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases immediately.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
